Epiphani Charter Build Program: Member Terms
Version 1, October 27, 2026. Offered by Epiphani Studios LLC, a Georgia limited liability company ("Epiphani", "we").
These terms apply when you or your company ("you") join the Charter Build Program. Paying the membership fee means you accept them.
1. What you get
- Your own AI workspace. We set up a personal AI assistant for you, modeled on the system our founder runs his companies on and connected to the accounts and tools you choose.
- Unlimited requests, built one at a time. Send as many requests as you like. We work on one of your requests at a time, in the order we agree on with you. We acknowledge every request within 48 hours, and the request at the front of your queue gets a written answer within 7 days saying whether we will build it, how we will build it, and when it starts.
- Every Epiphani app. Membership includes the Epiphani One Founder Series for your household for the membership year.
- A direct line to the founder. You have direct access to our founder for your requests during the membership year.
2. What the membership is not
- Private company systems are a separate project. Work built only for your company (custom integrations, software you will own outright, or work for your staff or customers) is quoted separately as an Epiphani Studio project with its own written scope and price. We will tell you in writing before treating any request this way.
- Scope and timing of builds. We commit to the acknowledgment and written answer in Section 1 and to working your queue one request at a time. Because every build is different, we do not commit to specific delivery dates, and we may decline a request that is unlawful, unsafe, outside software, or beyond what a single build can reasonably cover.
- Professional advice is outside the membership. Nothing we build or say is legal, tax, financial, medical, or investment advice.
3. Price, term, and renewal
- Fee. $2,500 for the first membership year, paid upfront. The year starts on the day you pay.
- No automatic renewal. Before your year ends, we will offer you a renewal at our then-current price. Your membership ends at the close of the year unless you accept that offer and pay for it.
- Membership size. The program is limited to five members.
4. Refund guarantee
If the program is not worth it to you, ask for a refund in writing (an email is enough) within 60 days of paying, and we will refund the full fee to your original payment method. After a refund, your membership, your app access, and the license in Section 5 end. After 60 days, the fee is non-refundable, except as Section 8 provides.
5. Ownership
- Shared builds. Most requests become features or products that we offer to others. We own those builds, including the code and any improvements. You get a free, perpetual, non-exclusive license to use what was built from your requests for yourself and your company, and you are credited as a founding member if you want to be.
- Your data stays yours. You own your content, your accounts, and your data. We use them only to set up and run your workspace and to build what you asked for.
- Studio projects. Separate Epiphani Studio projects follow their own written agreement, under which the client owns the code upon each payment.
6. Your information and accounts
- Requests are not confidential. Please do not put trade secrets or confidential company information in a request. Because most requests become shared builds, we may use the ideas in a request to build products for anyone, with no payment or obligation to you.
- Your workspace data is confidential. Information we can see while setting up or running your workspace (such as your email, calendar, or documents) is kept confidential, used only to serve you, never sold, and never used to train AI models.
- You keep control of your accounts. You connect your accounts through each service's own sign-in, and you can disconnect any of them at any time. We do not ask for or store your passwords. You are responsible for what your assistant is permitted to do in the accounts you connect.
7. AI output
Your assistant and our builds use AI models. AI can make mistakes, so please review anything important before relying on it, sending it, or acting on it. You decide what your assistant may send or do on your behalf.
8. Ending the membership
You can end the membership at any time by telling us in writing; Section 4 governs any refund. We can end your membership if you misuse the program or breach these terms, or for any other reason with 30 days' written notice. If we end it for a reason other than your misuse or breach, we will refund the unused part of your year, measured by days.
9. Liability
To the extent the law allows, the services are provided "as is," without warranties beyond what these terms state. Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim. Neither side is liable to the other for indirect or consequential losses, such as lost profits. Nothing here limits liability that the law does not allow to be limited.
10. General
Georgia law governs these terms, and any disputes go to the state or federal courts in Fulton County, Georgia. These terms, along with any written Studio agreement, are the entire agreement about the program. We may update these terms for future membership years, though changes will not apply to a year you have already paid for without your agreement. Questions: hello@epiphani.studio.
